Welcome to TemboList. These Terms of Service ("Terms") govern your access to and use of the TemboList web application and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who can use the Service
The Service is intended for licensed independent used-vehicle dealers and dealership staff operating in the United States. You must be at least 18 years old and authorized to bind the dealership for which you create an account. You are responsible for all activity that occurs under your account, including any vehicle listings, photographs, or notes uploaded.
2. Subscription, billing, and trial
The Service is offered as a monthly subscription at the price displayed at signup (currently $149/month USD), billed in advance through Stripe. New accounts receive a 7-day free trial. If you do not cancel before the end of the trial, your card will be automatically charged the first monthly fee on day 8 and on the same day each month thereafter until you cancel.
Prices are subject to change with at least 30 days' notice via email to your account address. Continued use after a price change constitutes acceptance.
3. Cancellation
You may cancel at any time from the Stripe billing portal accessible inside the Settings page, or by emailing us at tembolist@gmail.com. Cancellation takes effect at the end of your current billing period. See our Refund & Cancellation Policy for details.
4. Your content and AI-generated listings
You own the photographs, notes, vehicle data, and other content you upload to the Service ("Your Content"). You grant TemboList a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to provide and improve the Service.
TemboList uses third-party AI models (currently Anthropic Claude) to generate draft listing descriptions from the vehicle data you provide. You are solely responsible for reviewing and verifying every AI-generated listing for accuracy before publishing it. TemboList makes no warranty that AI-generated content is accurate, complete, or compliant with any platform's terms of service. Generated listings may occasionally contain errors, omissions, or hallucinations.
5. Acceptable use
You agree not to:
- Use the Service to list vehicles you are not legally entitled to sell.
- Misrepresent vehicle condition, mileage, history, or ownership.
- Upload content that infringes third-party intellectual property, privacy, or publicity rights.
- Reverse-engineer, copy, or resell the Service.
- Attempt to gain unauthorized access to any portion of the Service or other users' data.
6. Third-party services
The Service integrates with third-party providers including Stripe (payments), Anthropic (AI generation), the National Highway Traffic Safety Administration ("NHTSA") VIN-decode service, and OwnerKeep (reliability scoring). Your use of these integrations is also subject to their respective terms.
7. Service availability
We make reasonable efforts to keep the Service available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or modify features at any time. Scheduled downtime, if any, will be communicated in advance when reasonably possible.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TemboList DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TemboList'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TemboList IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL TemboList BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST SALES, EVEN IF ADVISED OF THE POSSIBILITY.
10. Indemnification
You agree to indemnify and hold TemboList harmless from any claim, demand, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right.
11. Termination
We may suspend or terminate your account if you breach these Terms, if your subscription becomes delinquent, or if we are required to do so by law. Upon termination, your right to access the Service ceases immediately. We retain the right to delete account data 30 days after termination unless legally required to retain it longer.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or via an in-app notice. Continued use after the effective date of revised Terms constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the United States and the state in which the dealership is principally located, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in that state.
